Shareholder Representative Services (SRS) Professionalizes the Post-Closing Escrow Period for Southeast Venture Capitalists
06.02.2009Former Shareholders of APEX Analytix Name SRS as their Representative in M&A Deal With PNC Equity Partners
Greensboro, NC – June 2, 2009 – The former shareholders of APEX Analytix have chosen a new option for handling the post-closing escrow period following the recent sale of the company to PNC Equity Partners – Shareholder Representative Services (SRS), which will professionally manage the process on behalf of the selling shareholders.
SRS has begun offering its highly regarded services to venture capital investors in the Southeast, including Noro-Moseley Partners of Atlanta and Wakefield Group of Charlotte, N.C., the main VC investors in Greensboro, N.C.-based APEX Analytix.
In its role as shareholder representative, SRS will manage the post-closing escrow process on behalf of the former shareholders, including handling possible claims by PNC Equity Partners related to working capital disputes or breaches of representations or warranties; communicating with escrow agents and other parties to the transaction; and resolving other matters that may arise.
“SRS has already served as shareholder rep on more than 40 deals valued at over $5 billion, but most have involved companies in Silicon Valley or the Northeast. We have been working hard to expand our service offering and contacts into the Southeast because of the significant opportunities this region presents. This deal demonstrates that SRS now has a national footprint and that we are available to serve venture capitalists throughout the Southeast as well as all other regions of the U.S.,” said Mark Vogel, Managing Director of SRS.
“We’re very happy that SRS has agreed to provide its outstanding service to the former shareholders of APEX Analytix,” said Allen Moseley, a General Partner with Noro-Moseley Partners. “From past experience, we know that serving as the shareholder rep is a time-consuming process and that it is much better done by an experienced professional firm like SRS than by us,” he added.
About Shareholder Representative Services (SRS)
Shareholder Representative Services saves venture capitalists time and money during the escrow period following the sale or acquisition of one of their portfolio companies. SRS has more experience managing the post-closing escrow period than anyone else: since 2007, SRS has represented more than 200 venture capital firms and managed the escrow period in more than 40 venture-backed M&A deals valued at over $5 billion. Venture capitalists who have used SRS say that hiring SRS to manage the post-closing escrow period is the smart thing to do, because being the shareholder representative involves real responsibilities and risk, including the possibility of personal legal liability for individuals who take on this role.
