Terese Carroll

Terese manages the post-closing process for SRS clients, including indemnification claims, escrow releases and working capital adjustments.
Prior to joining SRS, Terese practiced law as a member of the business and finance section of the Philadelphia office of Morgan, Lewis & Bockius. Her practice focused on mergers and acquisitions and securities laws matters for a variety of public and private companies. She also served as senior counsel in the mergers & acquisitions group of Unisys Corporation, working primarily on divestitures, corporate financings and indemnification claims.
Terese received a J.D. from the University of Virginia School of Law; and a B.A. in History, with a minor in Economics, from Gettysburg College.
Greg Brann

Greg is responsible for the investigation, assessment and resolution of post-closing financial claims made by an acquirer in M&A transactions, including the analysis of working capital adjustments, review of pre-closing and closing date tax returns, indemnification claims, and earn-out compliance.
Prior to joining SRS, Greg was a Managing Director with FTI Consulting and a Director with PricewaterhouseCoopers. In those positions, Greg managed client engagements in the areas of mergers and acquisitions due diligence, troubled company restructurings, forensic investigations and litigation support.
Greg received a Master of Business Administration with a concentration in Finance from the Marshall School of Business at the University of Southern California and holds a B.S. in Industrial Engineering from California Polytechnic State University (San Luis Obispo).
Sam Riffe

Sam works with company counsel and other involved parties to finalize transaction documents and resolve any questions or issues that arise in connection with SRS’s engagements prior to closing. Drawing upon his extensive deal experience, he provides guidance on SRS’s role in handling indemnification claims, escrow funds, holdback amounts, earnout provisions and other post-closing matters.
Prior to joining SRS, Sam was a member of Dewey & LeBoeuf’s Mergers and Acquisitions department, practicing in the firm’s New York office. He represented acquirers, targets, sellers, shareholder groups, equity investors and others in complex domestic and cross-border transactions.
Sam received his J.D. from Columbia Law School, and a B.S. in Finance from Oklahoma State University.
Raymond Cho

Raymond is responsible for managing litigation and arbitration for disputes that arise throughout the post-closing escrow period for SRS clients. In this role, Raymond oversees the retention and use of outside counsel and other resources to successfully investigate, negotiate and resolve disputes.
Prior to joining SRS, Raymond was a litigation counsel with Google Inc. in Mountain View, California. Before that, he was an attorney at Skadden, Arps, Slate, Meagher & Flom in San Francisco, where he represented clients in a wide array of disputes, including class actions, shareholder derivative suits, investigations, and arbitrations.
Raymond holds a J.D. from Columbia Law School, an M.A. from Columbia University School of International and Public Affairs, and a B.A. in government from Claremont McKenna College.
Christopher Han

Christopher is responsible for assessing the post-closing responsibilities of SRS in M&A transactions, negotiating the terms of SRS engagements, and liaising with clients during the pre-closing process.
Prior to joining SRS, Christopher was an attorney in the Mergers and Acquisitions group of Shearman & Sterling, practicing in the firm’s New York and San Francisco offices. He represented a wide range of clients in various transactions, including mergers, stock and asset purchases, reorganizations, equity and debt financings and entity formations.
Christopher holds a J.D. from Columbia Law School, and a B.S. in Computer Engineering from the University of Michigan.
William Denebeim

Bill manages the analysis and resolution of post-closing purchase price adjustments and other financial matters on behalf of SRS clients. He has more than 25 years of experience providing financial, regulatory and operational consulting services to executive management and investors of technology companies. His emphasis has been in the areas of valuation, fundamental economic analysis, due diligence, transaction support and corporate restructuring, and he has specific expertise in the telecommunications, Internet infrastructure and software industries.
Prior to SRS, Bill was a managing director in the telecommunications industry practice at FTI Consulting, Inc., a director in the Financial Advisory Services (FAS) practice at PricewaterhouseCoopers, and a senior manager in Management Consulting Services (MCS) at Price Waterhouse. Most recently, Bill was Vice President, Financial Advisory Services at The Brenner Group.
Bill received his M.S. in Operations Research from Stanford University and his B.A. in Economics and English from the University of California at Berkeley. He holds the Chartered Financial Analyst® designation and is a member of the CFA Institute and the CFA Society of San Francisco.
Cara Elias

Cara is responsible for analyzing, negotiating and resolving indemnification claims, earnouts and other post-closing disputes in a manner that most effectively serves SRS’ client interests.
Prior to joining SRS, Cara was an attorney in the corporate group at Brownstein Hyatt Farber Schreck LLP in Denver, and in the tax group at Latham & Watkins LLP in New York, where she represented a wide variety of clients in planning and compliance matters related to executive compensation and employee benefits, including recently passed healthcare reform requirements.
Cara holds a J.D. from Columbia Law School, and a B.A. in history from the University of Oklahoma.
