Former Stockholders of Fast Track Systems Appoint SRS as Stockholder Representative in Recent Acquisition
04.14.2008Denver, CO – April 14, 2008 – Shareholder Representative Services (SRS), the first and only company specializing in post-closing shareholder representation in private M&A transactions, today announced that it has been appointed as the representative of the former stockholders of Fast Track Systems, Inc. following the company’s recent acquisition. Fast Track’s selling stockholders include CW Ventures and ARCH Venture Partners.
“At first I was personally considering being the shareholder rep, but I had questions about what unknown risks and responsibilities I might be assuming” said John Kingery, former Chairman of Fast Track Systems, Inc., which provided clinical trial planning software, proprietary contracting data and professional services. “Then our M&A attorney told us about SRS. With SRS, the former shareholders still drive all major decisions, but with a professionally managed process from closing to escrow release.”
SRS serves as a professional representative of the stockholders following the closing of merger or acquisition transactions. As shareholder representative, the firm manages the entire post-closing process including handling claims by buyers for damages related to breaches of representations or warranties, communicating with escrow agents and other parties to the transaction, and resolving any other matters that may arise following closing.
“With Midwest investors and a Pennsylvania headquarters, the Fast Track transaction shows that the SRS value proposition continues to be embraced in more and more geographic markets,” stated Mark Vogel, Managing Director, SRS. “SRS acts as the professional and independent shareholder rep on behalf of all investors on a shared basis and at a fee that generally has no material impact on any investor’s return from the sale. There’s no longer any reason for an investor or officer to individually bear the burden, costs and risks of being the shareholder rep.”
